RESOLUTION CONCERNING THE PROPOSED MERGER OF THE CONGREGATIONS OF THROOP MEMORIAL CHURCH AND NEIGHBORHOOD CHURCH RESOLVED, that the congregations of Throop Memorial Church and Neighborhood Church shall merge upon the following principles: 1. The two congregations will become a new church (the "new church"), which will come into being approximately two years from the date of the original vote to merge, but not later than May 1993. The initial vote to merge will be regarded as a moral commitment, following which the Boards of the two churches, during the transitional period, will undertake all required legal actions to effect the final merger. Prior to legal creation of the new church, the two congregations will vote to approve Articles of Incorporation, Constitution and/or By-Laws, and such other instruments as shall be required to finalize the merger. 2. All existing members of both churches at the time of merger will be members of the new church. A new membership book will be created and members will be invited to sign the new book in a special ceremony to celebrate the creation of the new church. 3. During the transitional period, committees will be established to plan all functions and facilities needed and desired for the operation of the new church. The two churches are entitled to equal representation in the membership of these committees, which shall be led by co-chairs from each church. Joint committees shall consist of no more than twelve people, and no more than six from each church. 4. During the transitional period, the two churches will jointly determine the mission, goals and objectives of the new church. Existing programs will be evaluated and the new programs will be designed, as needed, to fit the mission and goals. After programs are evaluated and designed, staffing appropriate for their implementation will be determined. All existing non-ministerial staff will be given first consideration for the positions created. A ministry of music will be developed for the new church by a joint transitional music committee, which shall consist of the two Directors of Music and church members. Edward Low will be invited to implement the new program as the first Director of Music of the new church. 5. The first ministers of the new church will be Norman Naylor and Laurie Bilyeu. Brandoch Lovely and Harmon Gehr will be Minister Emeriti of the new church. 6. The new church will be located at 301 North Orange Grove Boulevard. Its campus plan will be developed by a joint committee from the two churches. The first priority of the committee during the transitional period will be to develop plans to create space for worship and religious education appropriate to the needs of the larger congregation. 7. Two years after the creation of the new church, an evaluation would begin to assess the leadership, structure, ministry and programs of the new church. Professional consultation shall be sought to assist in the evaluation.
